MENTORING AGREEMENT

Article I

Nature of Relationship

1.1 The Personal Coach/Mentor will provide Mentoring services based on the Client’s needs and desired level of support. The Personal Coach/Mentor and Client will co-create the Personal Coaching/Mentoring Agenda, which will identify the Client’s requirements for Personal Coaching/Mentoring support. Personal Coaching/Mentoring may consist of individual, couple or group Tele-Mentoring sessions, as determined by the Personal Coach/Mentor and Client(s).

1.2 Success requires the Client’s commitment to the Personal Coaching/Mentoring process and the outcomes that result from it. Client is required to be open and honest about his or her issues and needs, keep agreements, and stay committed to the goals identified by the Client, which will form the basis of the Personal Coaching/Mentoring Agenda. The Personal Coach/Mentor’s role is to employ his/her expertise as a Personal Coach/Mentor, taskmaster, motivator and sounding board, which will help the Client get on track, stay focused, and be accountable for his or her progress.

MENTORING AGREEMENT

1.3 The Client understands that the Personal Coaching/Mentoring relationship is not psychotherapy, psychological counseling, or any type of therapy; nor is it a substitute for these services. In the event the Personal Coach/Mentor or Client feel the need for the Client to receive professional counseling or therapy, it is the responsibility of the Client to seek a licensed professional who can provide these services.

Article II

Agreement Term

2.1 The Client agrees to an initial Personal Coaching/Mentoring Term of (50) fifty-sixty (60) minutes in duration +/-.

Article III

Agreement Renewal

3.1 This agreement will automatically renew, unless the Client provides notification to the Personal Coach/Mentor of cancellation thirty (30) days prior to the Agreement expiration date. Notification may be transmitted by regular mail, email or fax and Receipt must be confirmed by the Personal Coach/ Mentor via same for Paper Trail.

Article IV

Intake Session

4.1 The first Personal Coaching/Mentoring session will be an Intake Session and will be between 60 to 90 minutes in duration. The purpose of the Intake Session is for the Personal Coach/Mentor to gather background information about the Client, review the client assessment and establish the Personal Coaching/Mentoring Agenda. The intake session is charged separately from the monthly Mentoring sessions and is paid in advance.

Mentoring Fees

5.1 The Client will pay the Personal Coach/Mentor

Intake Session Fees

6.1 The Client will pay the Personal Coach/Mentor a one-time fee of for the Personal Coaching/Mentoring assessment and intake session. Client pays in advance of the session, using the Personal Coach/Mentor’s online payment processing system, or by check, cash, or credit card.

Article VII

Session Schedule

7.1 The Intake Session and the monthly Personal Coaching/Mentoring sessions are scheduled in advance, at the mutual convenience of the Client and Personal Coach/Mentor. The date and time for the next Personal Coaching/Mentoring session will be re-confirmed at the close of each Personal Coaching/Mentoring session.

Article VIII

Call Procedure

8.1 For scheduled Personal Coaching/Mentoring sessions, the Client will call the Personal Coach/Mentor at the prearranged time at the telephone number provided by the Personal Coach/Mentor. The Client is responsible for the long distance telephone charges for the call. For any group Personal Coaching/Mentoring calls and classes, the Personal Coach/Mentor will pay for the teleconference line; and the Client will pay for their long-distance charges incurred for calling into the conference line. The Personal Coach/Mentor uses a US-based Bridge service for all group Tele-Calls and encourages Clients to source a discounted long-distance service when accessing the Tele-Classes.

Article IX

Cancellations

9.1 Cancellation of the Intake or Mentoring sessions by e-mail or phone is permissible up to 24 hours prior to the appointment. If the Client cancels an Intake or Personal Coaching/Mentoring session with less than 24 hours’ notice, the Client will be billed ($50) for missed session with no refund.

Frequent session cancellations by the Client may result in the Personal Coach/Mentor terminating the Agreement with 1 weeks’ notice. Notification of cancellation may be transmitted by regular mail, email or fax.

Article X

Payment Procedure

10.1 The Personal Coach/Mentor is paid in advance for the Intake Session and all Personal Coaching/Mentoring sessions. Upon execution of this Agreement, the Client is required to pay for the Intake Session and the first month of Personal Coaching/Mentoring fees, as stipulated in Articles 5 and 6 of this

10.2 The Intake and first Personal Coaching/Mentoring sessions will be scheduled after this Agreement is executed by the Client and faxed or mailed to the Personal Coach/Mentor, and the first payment is received by credit/debit card (Visa, MC, Amex), Pay Pal or personal check. Services must be paid in advance, or they cannot be provided. Any changes to this procedure must be mutually agreed upon in writing.

Article XI Termination

11.1 After the initial TERM of this Agreement, subject to the Personal Coach/Mentor’s right to terminate early as stipulated in 9.1, either party may terminate the Personal Coaching/Mentoring Agreement by providing the other party with written notice, thirty (30) days prior to the end of the contract term, such notice may be transmitted by regular mail, email, or fax.

11.2 After the initial TERM if Client chooses to renew his Rate for Services will remain the same as long as he keeps going with the program. If The Client chooses not to renew and come back at a Later Date. He will be subjected to the Going Rate at the time of re-entry.

Article XII

Confidentiality

12.1 The Personal Coach/Mentor protects the confidentiality of the communications with his/her Client. The Personal Coach/Mentor will not voluntarily divulge that s/he is in a Personal Coaching/Mentoring relationship with the Client without the Client’s written permission, unless required to do so by a court order. There are some situations in which the Personal Coach/Mentor is legally obligated to breach the Client’s confidentiality in order to protect others from harm, including;

i) if the Personal Coach/Mentor has information that indicates a child, or elderly or disabled person is being abused; the Mentor must report this information to the appropriate agency, and

ii) if a Client is an imminent risk to him/herself or makes threats of imminent violence against another person; the Personal Coach/Mentor is required to take protective actions.

These situations rarely occur in Personal Coaching/Mentoring practices, but if such a situation does occur; the Personal Coach/Mentor will make every effort to discuss with the Client before taking any action.

12.2 If any Personal Coaching/Mentoring sessions are conducted in teleconference or in ‘face to face’ groups, the Client agrees to maintain the confidentiality of all information communicated to him or her by other

Personal Coaching/Mentoring clients and by the Personal Coach/Mentor. The Personal Coach/Mentor also understands that progress is often enhanced when clients discuss their Personal Coaching/Mentoring relationship with trusted colleagues and friends. Clients may have these discussions, but are expected not to share any information that would allow other members of the group to be identified.

12.3. Both Personal Coach/Mentor and Client understand that it is impossible to protect the confidentiality of information, which is transmitted electronically or by cell phone. This is particularly true of E-mail and information stored on computers connected to the internet. It is, therefore, incumbent upon both parties to this agreement to exercise caution and discretion when using electronic means of communication to discuss confidential matters.

Indemnification

13.1 The Client agrees to indemnify and hold the Personal Coach/Mentor harmless from and against any and all liability, claims, losses, damages, and expenses which the Client may suffer or incur as a result, directly or indirectly, of any activity undertaken by the Client pursuant to the services provided to the Client by the Personal Coach/Mentor. This indemnification shall survive any termination or expiry of this Agreement.

Article XIV

Mutual Nondisclosure

14.1 The Personal Coach/Mentor and Client mutually recognize that they may discuss future plans, business affairs, customer lists, financial information, job information, goals, personal information, and other private information.

The Personal Coach/Mentor will not voluntarily communicate the Client's information to a third party. In order to honor and protect the PersonalCoach/Mentor's intellectual property, the Client likewise agrees not to disclose or communicate information about the Personal Coach/Mentor’s practice, materials, or methods to any third parties.

The Client also agrees NOT to provide any Tele-Class bridge numbers to anyone not enrolled in the Personal Coach/Mentor’s courses or programs. The Client also agrees not to disclose any passwords for access to the course or Personal Coaching/Mentoring materials to anyone not enrolled in the Personal Coach/Mentor’s Personal Coaching/Mentoring services, courses, or programs.

Article XV

Addresses and Notices; Amendment

15.1 The addresses of the parties hereto are as follows, but either party may change its address for the purpose of this Agreement by notice in writing to the other party:

15.2 Amendments to this agreement shall be made only in writing, which writing shall be executed by the parties, or persons authorized by them to execute agreements on their behalf.
